Habitly Affiliate Program Terms of Use

This Agreement is designed with you in mind, as well as to protect Habitly, its parent company, Manage 2 Win, Inc., and our customers.

To register as an affiliate, you must have an active Habitly subscription.

We review and moderate all affiliate registrations, and we appreciate your accurate and honest information. Please note that the review process may take a few days – we know you are eager to join our team of affiliates, and we appreciate your patience!

If you’re approved, that’s awesome! You will be given a unique referral ID that you can use to promote Habitly via referral links. For visits and referrals information, creatives, graphs and more, including tracking your commissions, visit the Affiliate Program link in the Settings section of Habitly.

Commissions and payouts

You earn a generous 30% commission of the monthly Habitly subscription amount when anyone using your Habitly referral link becomes a new Habitly subscriber (“Your Referral”).  This is a recurring referral commission.

You are paid 30% of the net proceeds Habitly receives for each month Your Referrals pays for their Habitly subscription in sequence.

You must retain your Habitly subscription without interruption to continue being paid for Your Referrals.

We pay affiliate commissions in USD directly to your bank account or debit card in the first week of every month. We only pay commissions that are earned older than 30 days. This means a commission earned in January will be paid the first week of March.  The reason for this is to allow subscription payments to fully process.

The minimum payout balance is $50.00. There is no limit to what you can earn.

In order to receive a affiliate commission payment for your referrals, you must register your bank account or debit card with our payment service.

If you prefer to bill your customers directly, then you may use your referral link to purchase Habitly subscriptions on their behalf.

Here are the details of our program in summary

  1. To register as an affiliate, you or your company must be active Habitly subscriber.  (You may not use anyone else’s Habitly subscription to become a Habitly affiliate.)
  2. You receive 30% commission for every Habitly subscription payment that occurs with a Habitly subscriber who initially subscribed using your referral link, while you are active in this program.
  3. Minimum payout balance of $50.00, and no maximum payout. (We pay in USD.)
  4. Commissions earned are paid the first week of the second month after the month the commission was earned.  For instance, commissions earned in Month 1 are paid the first week of Month 3.
  5. Referral commissions are paid to your bank account or debit card.
  6. You may use your referral link to purchase Habitly subscriptions on behalf of your  customers and bill them directly.
  7. We expect you to charge the same subscription fee that Habitly would charge them directly, but legally we cannot enforce that.  If you purchase Habitly for your customer and bill them directly, and in the future they stop subscribing from Habitly through you and subscribe directly on www.habitly.com, then they are no longer considered Your Referral.
  8. If Your Referral subscribes, stops for a period of time, and then returns as a Habitly subscriber, then they are no longer considered Your Referral.
  9. If you stop your Habitly subscription, then Your Referrals are no longer considered Your Referrals.

Referral cookie lifetime

When a potential customer clicks on your referral link, a cookie is stored in their browser to track your referral. The cookie is then stored for a reasonable 30 days to give your referred customers time to decide if they wish to subscribe to Habitly, or ask us any pre-sale questions they may have.

A referral is not awarded if:

  1. The customer uses a different browser to purchase than the one they originally used to visit our site (because the cookie does not exist in that browser), and fails to re-enter your referral link.
  2. The customer purchases after 30 days (because the cookie will expire), and fails to re-enter your referral link.

Direct Link Tracking

We allow you to define part of your link for branding purposes.  This is done in the Affiliate Program section of the Settings tab of Habitly. We review your direct link submission as part of qualifying you as a Habitly Affiliate.

Refunded purchases

Habitly subscription payments made by Your Referrals that are older than 30 days and in good standing (e.g., the purchase has not been refunded) are included with each commission payout (if the commission balance totals $50.00 or more). There is no commission on subscription payments by Your Referrals that are refunded.

We reserve the right to reject affiliate commissions for any reason. Commission rejections may occur for the following reasons:

  1. The sale the referral was based on was refunded.
  2. The method by which the referral was generated was in violation of our promotional policies (see below) or violated the spirit of this Agreement.

Affiliate news and updates

Affiliates automatically agree to receive emails from Habitly. These emails are sent to affiliates only, at various times, and may include important information regarding the Habitly Affiliate Program. These emails also provide you with relevant news and updates to help you effectively promote Habitly.

As an affiliate you are required to respect and abide the standard protocol of confidentiality when information we send to you is marked, “CONFIDENTIAL.”

We do not send spam, or transfer your information to third parties for promotional purposes – ever.

Affiliate application rejection

We reserve the right to reject affiliate applications for any reason. We also reserve the right to choose whether to provide an explanation for affiliate application rejection. Below are just a few reasons why an application may be rejected (there are more):

  1. Affiliate applications for websites that sell, advertise, or engage in pornography, phishing scams, spamming, illegal business practices, or that include any material infringing on National or International Copyright will be rejected.
  2. Affiliate applications for websites that we do not believe are aligned with our industry or business may be rejected.
  3. If you apply to become an affiliate and you are not an active Habitly subscriber, your application will be rejected.
  4. If you apply to become an affiliate, and previously you violated this Agreement or a version of it, your application may be rejected.
  5. Websites considered inappropriate by Habitly will be rejected.

Inappropriate websites:

The following types of sites are a sampling of those that not permitted to become an affiliate: adult sites, sites that display adult material or banners, sites that promote violence, hatred or bigotry, sites that promote or engage in illegal activity, including (but not limited to), hacking, cracking, nulled, and warez sites. Affiliate applications for inappropriate websites will be rejected, and we reserve the right to choose whether or not to provide a rejection reason.

Questions regarding your application

When you apply to become an affiliate, we may email you at the email address you have supplied with  questions regarding your application. This may be because:

  1. We did not understand something in your application, or;
  2. More details are needed about how you will promote Habitly.

If we reach out to you, and have not heard back within 7 days, your application may be rejected. If your initial application is rejected, you are welcome to reapply to become an affiliate and provide us with more detail for reconsideration.

Dormant affiliate accounts

We encourage all our affiliates to actively promote Habitly to keep earning referrals. Let us know if you would like to discuss ideas of how to promote Habitly.

An affiliate account is considered dormant if no visits have been generated from your referral link after a 6-month period. We will try to reach you before temporarily deactivating your dormant affiliate account.  If we cannot reach you for 30 days, then your affiliate account will be permanently deactivated.

Instead of going dormant, let’s work together to help you continue earning recurring commissions!

Habitly Affiliate Program Policies

Allowed promotional methods

Regularly promoting Habitly often increasing your monthly recurring commissions! We encourage you to use promotional methods that add value to Habitly and bring us legitimate, loyal customers.

For instance, we love it when our team of affiliates mention Habitly on your website, in your product and services line card, on your podcasts, in your blogs, and across your social media.

Here are a few examples of awesome promotional methods to earn more commission:

  1. Add Habitly to your line card or list of services.  Promote it to prospects, customers, and especially, clients whom you bill monthly for services.  With their approval, simply add Habitly to their monthly fee.
  2. Tell clients, customers, and friends about Habitly.  Include your affiliate referral link.
  3. Write a review or a blog post about how Habitly is improving your behaviors and habits, and those of others in your company or at your clients.  Include your Habitly referral link in the post.
  4. Reach out to a broad audience with your social network accounts. Tweet about Habitly on Twitter with your Habitly referral link, post about us on Facebook with your affiliate link, or communicate to your LinkedIn followers about Habitly. Promoting real people in real stories is a great way to get more referrals!
  5. Provide value to others by answering questions about poor employee behavior or habits on other sites with helpful responses  Include your Habitly referral link in your replies.

Prohibited promotional methods

We love Habitly and back it 100%. Part of our commitment is to be careful with how Habitly is promoted. For this reason, we require our affiliates to be very ethical in how you promote Habitly.

The prohibited promotional methods listed below are not meant to scare you off.  We provide them to protect you, and us, and our customers from any freaky or fraudulent activity.  Here are some examples of prohibited promotional methods, just in case you’re not totally sure what is and what isn’t allowed:

  1. Promoting incorrect or misleading information
    Any promotional activity that shares incorrect or misleading information will result in affiliate account deactivation. This includes false information intended to click-bait potential customers. If you are unsure of the correct information or details for promoting Habitly, please contact us.
  2. Any type of spam is prohibited
    Links, ads, emails, comments… any type of spam. Please respect the posting rules of any 3rd-party websites you use to promote Habitly. P.S. This is not an exhaustive list of spam methods; if we decide that your activity is spam, it’s spam.
  3. Any illegal activity or activity deemed offensive by us is prohibited
    This may result in referrals being rejected and/or your affiliate account being deactivated. See above for allowed promotional methods.
  4. Do not pretend to be professionally associated with Habitly
    Affiliates aren’t employees of Habitly or our parent company, Manage 2 Win, Inc.; and have no employee rights.
  5. Pretending to actually be Habitly is prohibited
    Cloning our site, copying our site, using our copyrighted site assets, and pretending that a site created by you is an official Habitly site is unethical and prohibited (this includes using services that automatically clone websites, or place them into iframes).
  6. Again, false promotion to customers that you are endorsed or operated by Habitly is prohibited (and unprofessional).

Simply email us (questions@habitly.com) If you’re unsure, or concerned that some activity you’re about to proceed with may be considered prohibited.

Consequences of not-cool promotional methods

If your promotional methods are outside of these terms, your referrals may be rejected, and we may deactivate your affiliate account. We reserve the right to do this, and may or may not notify you in the instance that this occurs. Please use allowed promotional methods to succeed as an affiliate!

Inappropriate websites

The following types of sites are not permitted to become an affiliate: adult sites, sites that display adult material or banners, sites that promote violence, hatred or bigotry, sites that promote or engage in illegal activity, including (but not limited to), hacking, cracking, nulled, and warez sites. Affiliate applications for inappropriate websites will be rejected, and we reserve the right to choose whether or not to provide a rejection reason.

The important stuff

This constitutes the entire Agreement between you and Manage 2 Win, Inc., the parent company of Habitly.  Participating in the Habitly Affiliate Program confirms you accept these terms and conditions, you agree to abide by them.

By registering and being approved as an affiliate in the Habitly Affiliate Program, you agree that your commissions are subject to approval before they are accepted and subsequently paid.

Nothing contained in this Agreement shall be construed to create a partnership, agency, joint venture, or employer/employee relationship between the parties.  Neither party has the authority to assume or create any obligation or responsibility, express or implied, on behalf of, or in the name of, the other party or to bind such other party in any way. Each party shall be responsible for wages, taxes, withholding, insurance (including, without limitation, workman’s compensation), hours and conditions of employment of its personnel during the term hereof.

We put relationships above most everything else.  Therefore, if you have a concern, please contact us and discuss ways to resolve the problem.  Should you choose legal action, then you agree to the following:

  1. This Agreement shall be construed in accordance with and be governed by State of California law.
  2. Any controversy or claim arising out of or relating to the interpretation or enforcement of this Agreement, or the breach thereof, shall be settled by binding arbitration (such as JAMS – http://www.jamsadr.com/ or another arbitrator or service, but excluding the American Arbitration Association).
  3. Venue for any arbitration shall be in a United States city selected solely by Manage 2 Win.
  4. In the event of a dispute regarding the enforcement or interpretation of this Agreement, the prevailing party is entitled to recover reasonable attorney’s fees and costs incurred from the inception of the dispute up to a maximum of $5,000 (U.S.).
